Zepponi & Company Advises on Sale of Pioneering Craft Distiller Ransom Spirits

Posted on March 11, 2020

Zepponi & Company, a leading merger and acquisition advisory firm dedicated to the global beverage alcohol industry, served as a financial advisor to Ransom Wine Co. & Distillery (“Ransom”) on its sale to Integrated Beverage Group (“IBG”). An award-winning producer of premium handcrafted gin, whiskey, vermouth, grappa, and wine, Ransom provides IBG with a well-recognized foothold in the high growth category of craft spirits.

Based in Oregon’s acclaimed Willamette Valley, Ransom is a pioneering and innovative craft distillery that introduced the United States’ first Old Tom Gin and brought the world its first barrel aged Old Tom Gin in modern history.  The distillery’s flagship whiskey, “The Emerald,” is a groundbreaking authentic recreation of 1800’s whiskies made in Ireland.  The Emerald has garnered top accolades, such as Double Gold at the San Francisco World Spirits Competition and “World’s Best Pot Still Whiskey” from Whisky Magazine.

“We’ve been waiting for the right partner that shares our stance on the importance of transparency, quality and overall purity in production.  Furthermore, it was key for us to find a company that not only provided us an entry into the spirits category, but also expanded our wine offerings outside of the traditional Oregon varietals,” said Ari Walker, CEO of IBG.  In 2018, the company acquired Pinot Noir wine producer Duck Pond Cellars in the Willamette Valley.

Tad Seestedt, founder of Ransom, added, “My passion and interest has been primarily for production, both winemaking and distilling, in addition to farming and education.  This strategic partnership allows me to fully focus on those particular endeavors and to leverage the strength of IBG’s business management, sales and marketing.  It is a mutually beneficial arrangement.”

Zepponi & Company is a leading global merger and acquisition advisory firm that is dedicated to the beverage alcohol industry and has been the most active advisor in the North American wine sector.  The firm has served as the financial advisor on numerous transactions involving ultra-premium and luxury beverage alcohol brands and assets, such as Bib & Tucker, Mastersons, Pahlmeyer, Orin Swift, Meiomi, Patz & Hall, Kenwood Vineyards, Penner Ash, Siduri, and WillaKenzie Estate, and has advised some of the industry’s largest beverage alcohol companies, including Constellation Brands, Ste.
